Terms of Service

Effective 3 September 2026

These terms are an agreement between the business you represent ("you", the "Customer") and Endustra Business Consultancy ("Endustra", "we"). They govern your use of the Endustra web platform, the Endustra POS app, and related services (together, the "Service"). By creating an account, starting a trial or using the Service, you accept them on behalf of your business and confirm you are authorised to do so.

1. The Service

Endustra is a subscription platform for running a small or medium business: point of sale, HR and payroll, sales, purchasing, inventory, production, projects, finance, accounting and tax compliance, depending on your plan. What each plan includes is described on our pricing page. We may improve, add to or change features over time; we will not materially reduce what your plan provides during a paid period without notice.

2. Accounts and access

  • You must give accurate registration details and keep them current.
  • You are responsible for everyone you give access to, for the roles you assign them, and for keeping passwords, cashier PINs and manager passcodes confidential.
  • Tell us promptly if you believe an account has been compromised.
  • The Service is for business use by people aged 18 or over.

3. Plans, trials and billing

Trial. Every plan starts with a free trial of the length shown on the pricing page. No payment details are required to start. At the end of the trial your subscription continues on the plan you chose and your first invoice is issued.

Billing period. Subscriptions are billed monthly in Philippine pesos, in advance, and renew automatically each month until cancelled.

What you pay. The plan price, any add-ons you have switched on, and per-unit charges for branches and active payroll employees beyond what your plan includes, as counted at the time each invoice is issued. Prices are exclusive of VAT, which is added where applicable. A price agreed with you in writing overrides the published price for as long as that agreement says.

Payment. Invoices are payable online by the methods offered (GCash, Maya, card, and others as available), or by automatic card debit if you have set it up. An invoice is due 7 days after it is issued.

Late payment. If an invoice is not paid by its due date, your account is marked past due but keeps working. If it remains unpaid 14 days after the due date, access to the Service is paused until the balance is settled. We do not delete your data for non-payment.

Changes. You may change plans at any time: moving up takes effect immediately, moving down at your next billing date. We may change published prices with at least 30 days' notice; a change takes effect at your next renewal after the notice period.

Cancellation and refunds. You may cancel at any time, effective at the end of the current billing period. Periods already paid for are not refunded, except where the law requires.

4. Your data

You own the data you and your team enter into the Service. You grant Endustra a licence to host, process, back up and display it solely to provide and support the Service. We handle personal information as described in our Privacy Policy; for data about your employees, customers and suppliers, you are the controller and we act on your instructions. You are responsible for having the right to enter that data and for the notices the Data Privacy Act requires you to give the people it concerns.

5. Payroll, tax and receipts: what we do and do not do

  • We compute; you approve. Endustra computes payroll, statutory contributions (SSS, PhilHealth, Pag-IBIG) and withholding tax using the published tables and the data you enter. You are responsible for reviewing and approving each payroll run and for the accuracy of the inputs.
  • We do not prepare or file your returns. The Service produces the underlying figures - contributions, withholding tax, year-to-date totals per employee and contribution registers per agency - for your or your accountant's use. Preparing the statutory forms themselves is in development and is not part of the Service today. Filing, payment and any accreditation the BIR requires remain your responsibility.
  • POS receipts. Receipts printed by the POS app are acknowledgement receipts. They are not BIR-registered official receipts or sales invoices unless you have registered the point-of-sale system with the BIR under your own name and configured it accordingly.
  • No professional advice. The Service is software, not legal, tax or accounting advice. Rules change; we keep the Service current with reasonable diligence but you should confirm significant matters with your accountant.

6. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, or to process data you have no right to process.
  • Attempt to access another business’s data, probe or circumvent security, or interfere with the Service.
  • Reverse engineer, copy or resell the Service except as we expressly allow.
  • Send spam or malicious content through the Service.

We may suspend access to protect the Service or other customers if we reasonably believe these rules are being broken, and will tell you why.

7. Availability and support

We aim to keep the Service available at all times and to schedule maintenance outside Philippine business hours where we can, but we do not promise uninterrupted or error-free operation. The POS app is designed to keep selling during an internet outage and to sync when the connection returns. Support is provided by email on every plan, with priority handling on Growth and a named contact on Enterprise.

8. Intellectual property

The Service, its software, design and documentation belong to Endustra and its licensors. These terms do not transfer any of that to you. Feedback you give us may be used without obligation. Your data, and any documents the Service generates from it, remain yours.

9. Liability

To the fullest extent the law allows: the Service is provided "as is"; we are not liable for indirect, consequential or special losses, lost profits, or penalties and interest assessed by a government agency arising from information you entered or filings you made; and our total liability to you for all claims in any 12-month period is limited to the fees you paid us for the Service in that period. Nothing in these terms limits liability that cannot be limited under Philippine law.

10. Ending the agreement

You may cancel as described in Section 3. We may end this agreement on 30 days' notice, or immediately if you materially breach it and do not fix the breach within 14 days of our notice. After the subscription ends you can export your data for 30 days, after which we delete it except what we must retain by law.

11. Changes to these terms

We may update these terms. If a change materially affects you we will give at least 30 days' notice in the platform or by email. Continuing to use the Service after the change takes effect means you accept it.

12. Governing law

These terms are governed by the laws of the Republic of the Philippines. Disputes will be brought before the competent courts of the Philippines, after a good-faith attempt to resolve them directly with us first.
